Affiliate and Referral Partner Program Terms

1. About these terms

These terms govern two programs operated by WellAudio LLC ("WellAudio", "we", "us"): the WellAudio App Affiliate Program and the WellAudio Spaces Referral Partner Program (together, the "Programs"). They apply in addition to the Terms of Service. By taking part in either Program, you ("you", the "Partner") agree to them.

2. The WellAudio App Affiliate Program

• Every WellAudio Spaces account is enrolled automatically and receives a personal link and QR code to the WellAudio app.
• A guest is credited to you when they create a WellAudio account by following your link and subscribe on wellaudio.com. Subscriptions bought through the Apple App Store or Google Play are not eligible, because they are not processed by WellAudio.
• You earn the commission rate shown in your account on each subscription payment a credited guest makes, for as long as they stay subscribed.

3. The WellAudio Spaces Referral Partner Program

• Participation is by application. We may approve or decline any application at our discretion.
• A venue is credited to you when it applies for WellAudio Spaces through your referral link (or, on the same device, within 60 days of following it) and we open an account for it. Each venue can be credited to one Partner only, and a venue that applied before following your link is not credited.
• You earn the commission rate shown in your account on each subscription payment a credited venue makes for WellAudio Spaces, for as long as it subscribes.
• When a credited venue earns commission in the WellAudio App Affiliate Program, you also earn the app referral share shown in your account on those same app payments, for as long as the venue stays credited to you. This share is paid by WellAudio and does not reduce the venue’s own commission.
• Only venues credited directly to you count. You do not earn on venues that your credited venues go on to refer.
• You do not earn commission on your own account’s subscription.

4. Commission and payment

• Commission is calculated on the amount actually paid. Rates are shown in your account and may differ between Partners. We may change a rate for future payments with notice; commission already earned keeps the rate it was earned at.
• Commission is held for 30 days after the payment it relates to, to cover refunds and chargebacks. If a payment is refunded or charged back during that time, its commission is cancelled. If it is refunded after the commission was paid, the amount is deducted from your future commission.
• Payments are made through Stripe once your cleared balance reaches US$50. To be paid you must complete Stripe’s payout setup, which includes identity verification and tax information. Stripe holds your bank details; WellAudio does not. Both Programs pay into the same payout account.
• You are responsible for any taxes on your commission. Where required, a tax form (such as a Form 1099) is issued through Stripe.

5. How you promote WellAudio

• Be accurate. Do not make medical or health claims about WellAudio, or promise any outcome from listening.
• Make it clear that you may earn a commission, as the law requires where you are (in the United States, under the FTC’s endorsement guidelines).
• Do not send unsolicited messages (spam), bid on WellAudio names or trademarks in paid search, or present yourself as WellAudio.
• Do not create accounts or subscriptions to earn commission on them, or encourage anyone else to.

While you take part, you may use the WellAudio name and the materials we provide only to promote WellAudio, and only in the form we provide them.

6. Pausing and ending participation

You may leave either Program at any time by contacting us. We may pause or end your participation, with notice, if these terms are breached or a Program changes or closes. Cleared commission earned before then is still paid, unless it was obtained in breach of these terms (for example, through fraudulent sign-ups), in which case it is forfeited.

7. Our relationship

You take part as an independent business. Nothing in these terms makes you an employee, agent or legal partner of WellAudio, and you may not make commitments on our behalf.

8. Changes, liability and law

We may update these terms; we will change the date above and tell Partners about significant changes before they take effect. The limitation of liability and governing law sections of the Terms of Service also apply to the Programs.
